KEY TERMS
Initial 12-month term; either party may end with 30 days’ notice. 15% for memberships 1–10 attributed to a valid Buono Code; 20% from membership 11 onward, not retroactive. After one full year in good standing, add five percentage points to applicable future new-membership commissions. Annual renewals: 5%. Eligible restaurant referrals: up to $500 under the final schedule. One complimentary year of eligible membership. Paid-relationship disclosure is required; spam, purchased lists, fake reviews, false claims, and guaranteed-outcome promises are prohibited.
COMPENSATION
Memberships 1–10: 15%
Memberships 11+: 20%
After one full year: +5 percentage points on applicable future new-membership commission
Annual renewals: 5%
Net Collected Revenue means amounts actually received and retained by BuonoPass, excluding taxes, tips, restaurant charges, processing fees, discounts, credits, refunds, chargebacks, fraud, and disputed transactions.
FULL AGREEMENT — AMBASSADOR AGREEMENT v1.1
1. Term and Non-Exclusivity. The initial term is 12 months unless ended earlier. The arrangement is non-exclusive and either party may end it with 30 days’ written notice.
2. Ambassador Commitments. You will promote BuonoPass responsibly, provide accurate information, and comply with law and platform rules.
3. Promotion Standards. Content must be truthful, substantiated, and consistent with your genuine experience.
4. Required Disclosure. Every relevant promotion must clearly disclose that you are a paid or compensated BuonoPass Ambassador.
5. Prohibited Outreach. No spam, purchased lists, fake reviews, misleading claims, impersonation, or guaranteed-outcome promises.
6. Referral Attribution. Attribution is determined by BuonoPass records and a valid Buono Code, subject to fraud, duplicate, self-referral, and dispute review.
7. Compensation. Eligible payments are calculated under the stated commission tiers and Net Collected Revenue definition.
8. Complimentary Membership. You receive one year of the eligible membership tier subject to final program terms.
9. Brand License and Content. A limited, revocable license permits use of approved materials only during the relationship.
10. Independent Contractor. You are an independent contractor, not an employee, agent, franchisee, or partner.
11. Confidentiality and Privacy. Non-public information and personal data must be protected and used only for program purposes.
12. Monitoring and Records. BuonoPass may review compliance, attribution, and payment records.
13. Termination. Termination may occur for notice, breach, fraud, safety, or reputational risk.
14. Indemnity and Liability. Each party is responsible for its own conduct; liability is limited to the extent permitted by law.
15. New York Law and General Terms. New York law governs. Electronic records and signatures may be used.
